MeasureIH Terms of Service

Subscription Terms for consultancy customers

These Terms of Service ("Terms") govern your organization's subscription to and use of MeasureIH Proposal Studio and related consultancy workspace features (the "Service") provided by Measure IH, LLC. By creating a workspace or otherwise accepting these Terms, you agree on behalf of your organization.

Client proposal portal access and electronic signature flows are governed separately by the Portal & E-Signature Terms.

1. The Service

MeasureIH provides software for EHS consultancies to build, send, and manage proposals, related workspace settings, and team access. Features available to you depend on your plan (including trial), configuration, and applicable product limits.

2. Accounts and workspaces

You must provide accurate company and contact information and keep your workspace membership list current. You are responsible for activity under your workspace, including actions by invited team members. Protect credentials and notify us promptly of unauthorized access.

3. Trials and subscriptions

Free trials and paid plans are offered subject to the limits and features described at signup or in-product. Paid subscriptions renew according to the billing cycle you select until canceled. Fees are non-refundable except where required by law or expressly stated otherwise. We may change plan pricing or features with reasonable notice for future renewal periods.

4. Customer content

You retain ownership of proposals, client data, branding, and other content you upload or create in the Service ("Customer Content"). You grant Measure IH, LLC a limited license to host, process, and display Customer Content solely to operate and improve the Service for you. You represent that you have the rights needed to use Customer Content in the Service. Processing of personal information is also described in our Data Processing Addendum.

5. Acceptable use

You may not misuse the Service, including attempting unauthorized access, disrupting availability, reverse engineering except where permitted by law, using the Service for unlawful purposes, or sending spam or abusive communications through Service features.

6. Confidentiality and privacy

Each party will protect the other's confidential information with reasonable care and use it only as needed to perform under these Terms. Our handling of personal information is described in our Privacy Policy.

7. Suspension and termination

You may stop using the Service and cancel your subscription as described in-product. We may suspend or terminate access for material breach, non-payment, or risk to the Service or other customers. Upon termination, your right to use the Service ends. We will make Customer Content available for export for a reasonable period where practicable, subject to legal holds and technical limits.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEASURE IH, LLC'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO MEASURE IH, LLC FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.

10. Changes

We may update these Terms by posting a new version and effective date. Continued use after the effective date constitutes acceptance of the updated Terms for future use. Material changes may also be communicated in-product or by email to workspace owners.
